Welcome to Snapscribe SDR. These Terms and Conditions ("Terms") govern your relationship with the Snapscribe SDR application and services (the "Service") operated by Snapscribe Limited ("us", "we", or "our"), a company registered in Cyprus.

2. DEFINITIONS

For the purposes of these Terms and Conditions:

• Use automated systems or software to extract data from the Service without our prior written consent
• Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity
• Reverse engineer, decompile, or disassemble any aspect of the Service

5. AI-GENERATED CONTENT

The Service uses artificial intelligence to generate email responses and classify prospect intent. You acknowledge and agree that:

• AI-generated responses are based on the FAQ, business description, and configuration you provide
• You are responsible for reviewing and configuring the AI's knowledge base and tone
• While the AI is designed to stay on topic and avoid false claims, we do not guarantee the accuracy of every AI-generated response
• You remain responsible for all communications sent through the Service on your behalf
• The AI may escalate conversations to human review when appropriate

6. INTELLECTUAL PROPERTY RIGHTS

6.1 Company Rights

The Service and its original content (excluding Content provided by Users), features, and functionality are and will remain the exclusive property of Snapscribe Limited and its licensors. The Service is protected by copyright, trademark, and other laws of both Cyprus and foreign countries.

6.2 User Content

You retain all rights to any Content you submit, post, or display on or through the Service. By submitting Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and process such Content for the purpose of operating and providing the Service.

6.3 User Representations

You represent and warrant that:

• You own or have the necessary rights to use and authorize us to use all Content you provide
• Your Content does not and will not infringe any intellectual property right of any third party

7. SUBSCRIPTION AND PAYMENT TERMS

7.1 Subscription Plans

We offer various subscription plans with different features and pricing, including conversation limits and feature tiers. All fees are stated in the currency specified at the time of purchase.

7.2 Billing and Payment

• Subscription fees are billed in advance on a recurring basis (monthly or annually)
• Payment is due immediately upon subscription or renewal
• You authorize us to charge your designated payment method for all fees
• All fees are non-refundable except as expressly stated in these Terms or required by law

7.3 Price Changes

We reserve the right to modify our pricing at any time. We will provide you with reasonable notice of any price changes. Your continued use of the Service after price changes take effect constitutes your agreement to pay the modified fees.

10. DISCLAIMERS AND WARRANTIES

10.1 Service "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Warranty of Accuracy

We do not warrant that:

• The Service will function uninterrupted, secure, or available at any particular time or location
• Any errors or defects will be corrected
• The Service is free of viruses or other harmful components
• The results of using the Service will meet your requirements
• AI-generated responses will be accurate, appropriate, or effective in every case

10.3 Your Sole Risk

Your use of the Service is at your sole risk. We do not guarantee any specific sales outcomes, response rates, or conversion metrics.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SNAPSCRIBE LIMITED, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Any AI-generated communications sent on your behalf

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED EUROS (EUR 100), WHICHEVER IS GREATER.

12. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Snapscribe Limited and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to:

• Your violation of these Terms
• Your use of the Service
• Your violation of any rights of another party
• Communications sent through the Service on your behalf
• Your Content or any content submitted through your account

13. DISPUTE RESOLUTION

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Cyprus, without regard to its conflict of law provisions.

13.2 Jurisdiction

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Cyprus.

Upon termination:

• Active conversations managed by the AI will be closed
• You will remain liable for all amounts due up to and including the date of termination
• Sections of these Terms that by their nature should survive termination shall survive

16. GENERAL PROVISIONS

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Snapscribe Limited regarding the use of the Service.

16.2 Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

16.3 Waiver

No waiver by us of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.

16.4 Assignment

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice or consent.

We shall not be liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
